Major, Lindsey & Africa has an immediate need for an Temporary to Permanent Associate General Counsel at an In-House Biotechnology Company.

Associate General Counsel

Overview: A Late-stage biotechnology company focused on the development and commercialization of novel cancer immunotherapeutics for a broad range of indications seeks an Associate General Counsel to assist with SEC Filings, Corporate Governance and Clinicial Trials work.

Company: Publicly-Traded Biotechnology Company

Experience: 5-15+ years of In-House AND/OR Law Firm Experience

Location: New York, New York.

Responsibilities Include:

  • Principal responsibility for all Company SEC filings, including periodic reports, proxy statements, registration statements and Section 16 filings and other securities compliance matters.
  • Legal support for financing activities and all capital markets activity.
  • Provide legal oversight for Companys equity administration function.
  • Draft, negotiate and/or review agreements, including manufacturing and supply chain agreements, license agreements, clinical trial agreements, HR and employee relating agreements. Oversee agreement approval process.
  • Assist General Counsel with corporate secretary duties, including preparation of meeting minutes, preparation for board meetings and annual shareholder meeting.
  • Assist General Counsel with business development and transactional matters, including agreement drafting and review, due diligence, integration.
  • Cultivate strong partnership with Finance team and other business stakeholders in support of cross-functional, strategic priorities.
  • Work collaboratively and creatively with business stakeholders in identifying, assessing and mitigating risk.

Qualifictions Include:

  • College and law degrees from accredited schools
  • 5+ years of attorney experience (law, in-house or combination)
  • Current member in good standing of the NY bar
  • Experience in corporate transactions and agreement drafting and negotiation required
  • Experience with securities matters required
  • Experience with and understanding of pharmaceutical and biotechnology industries and issues required
